As a result of unforeseen delays in connection with the preparation of its Quarterly Report on Form 10-Q  for the period ended March 31, 2009 (the “Form 10-Q”), Nature’s Sunshine Products, Inc. (the “Company”) was unable to file the Form 10-Q within the prescribed time period.  The Company could not eliminate the reasons for its inability to file the foregoing Form 10-Q without unreasonable effort and/or expense.  The Company expects that the Form 10-Q will be filed before the fifth calendar day following the required filing date as prescribed in Rule 12b-25 of the Exchange Act.

The Company anticipates reporting an estimated operating loss of approximatley $2,844,000 for the period ended March 31, 2009 as compared to operating income of approximately $899,000 for the same period in 2008, generally as a result of decreased sales due to foreign currency fluctuations and general economic conditions in the markets in which the Company operates.  These estimates are based on preliminary information and as such are subject to change as the Company completes the Form 10-Q.
