On July 25, 2007, 1-800 CONTACTS, INC. (“1-800 CONTACTS” or “the Company”) issued a press release announcing that it has established Monday, August 6, 2007 as the record date for its stockholders entitled to consider and vote upon a proposal to approve and adopt the merger agreement, dated as of June 3, 2007, among 1-800 CONTACTS and affiliates of Fenway Partners, LLC, pursuant to which Fenway Partners has agreed to acquire 1-800 CONTACTS for $24.25 per share.  A copy of the press release is furnished as Exhibit 99.1 hereto.
