Item 8.01.  Other Events

On Thursday, May 10, 2007, the Board of Directors of SPACEHAB, Inc. appointed Mr. Mark Adams to the Company’s Corporate Governance and Nominating Committee as a replacement for Mr. Barry Williamson.  Mr. Adams will serve as Chairman of the Committee, replacing Mr. Myron Goins.  Mr. Goins will remain as a member of the Committee.  Mr. Williamson remains Chairman of the Company’s Board of Directors.  It was also identified that Mr. Adams has been declared an independent member of the Board.
