Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Input/Output, Inc. (the “Company”) and Jorge Machnizh, President of Imaging Systems, have agreed that Mr. Machnizh will resign from his position with the Company, effective on May 7, 2005. In addition to his current responsibilities as President and Chief Executive Officer of the Company, Robert P. Peebler will assume the duties of the President of Imaging Systems for the near future.
