Narrative Description of Activities for Reporting Period


During the fourth quarter 2004, FirstEnergy converted its loan to PowerSpan Corp. to shares of Series C Convertible Preferred Stock.  As a result, FirstEnergy's ownership in PowerSpan Corp. increased from 18.63% to 25.41%.
