Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 21, 2018, Mr. Gaurdie E. Banister, Jr., a member of Marathon Oil Corporation's Board of Directors since October 2015, informed the Board that he will not stand for reelection at the Company’s 2018 Annual Meeting of Stockholders. Accordingly, Mr. Banister’s service as a member of the Board of Directors will cease following the Company’s 2018 Annual Meeting of Stockholders scheduled to be held on May 30, 2018.  Mr. Banister’s decision not to stand for reelection is not a result of any disagreement with other Board members or with our management.  The Company thanks Mr. Banister for his service.
