This Registration Statement is being filed to register an additional 5,500,000 Common Units of the same class of securities for which the Registrant previously filed a registration statement on Form S-8 under the Securities Act relating to the Second Amended and Restated Energy Transfer Partners, L.P. 2008 Long-Term Incentive Plan.
