Ingersoll Rand Prices $1.5 Billion Senior Notes Offering

Ingersoll-Rand plc (NYSE: IR) (the “Company”), a world leader in creating comfortable, sustainable and efficient environments, today announced that it priced the previously announced offering by its indirect, wholly-owned subsidiary, Luxembourg Finance S.A., of $400 million aggregate principal amount of 3.50% senior notes due 2026, $750 million aggregate principal amount of 3.80% senior notes due 2029 and $350 million aggregate principal amount of 4.50% senior notes due 2049. The notes will be guaranteed by the Company and by Ingersoll-Rand Global Holding Company Limited, Ingersoll-Rand Lux International Holding Company S.à r.l., Ingersoll-Rand Irish Holdings Unlimited Company and Ingersoll-Rand Company, each of which is a wholly-owned subsidiary of the Company. The offering is expected to close on March 21, 2019, subject to the satisfaction of customary closing conditions.

We intend to use the net proceeds from the offering to finance the proposed acquisition of Precision Flow Systems, to pay expenses related to the offering and for general corporate purposes.
