Toronto, Ontario CANADA, February 25, 2011 /FSC/ - Pure Energy Visions Corporation (PEV - TSX Venture, XYQ - FWB), today announced its that it completed on February 24, 2011 the final closing of $1,000,000 of its previously announced private placement of up to $1,500,000 principal amount of unsecured convertible debentures (the "Debentures").  The Debentures would have an 18 month term, accrue interest at 8% payable semi-annually, and be convertible into common shares of the Company at $0.25 per share.  The proposed issue is subject to final acceptance by the TSX Venture Exchange.  The intended use of proceeds is to fund additional investments (which may include bridge financing) in PureEnergy Solutions, Inc. ("PES") to fund the working capital requirements of PES and to fund Pure Energy's expenses.  In connection with the offering, Pure Energy paid a finder's fee to Raymond James Corporation of 6% of the proceeds received from sales completed by them and compensation options were granted to Haywood Securities Inc. for proceeds raised through it for 72,000 shares at an exercise price of $0.25/share.  Network Capital Partners, Inc., an insider of the Pure Energy, subscribed for an additional $150,000 of the Debentures on the final closing.
