ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On November 29, 2005, SkillSoft Public Limited Company (the "Company") announced
its financial results for the fiscal quarter ended October 31, 2005 and updated
its outlook for the fiscal year ending January 31, 2006. The full text of the
press release issued in connection with the announcement is furnished as Exhibit
99.1 to this Current Report on Form 8-K.
