ITEM 8.01—OTHER EVENTS

     On September 5, 2008, the Board of Directors of Ashford Hospitality Trust, Inc. authorized an additional $75 million of the Company's common stock that may be repurchased under its share repurchase program. Repurchases under the share repurchase program will be exercised from time to time, subject to market conditions and regulatory considerations. Repurchases may be made under a Rule 10b5-1 plan compliant with Rule 10b-18 of the Securities Exchange Act of 1934.
