Explanatory Note.

           This Amendment No. 1 to Form 8-K is being filed to revise certain
information contained in Exhibit 99.1 filed with the original Form 8-K filed
February 1, 2005.

Item 7.01.  Regulation FD Disclosure.

           As previously disclosed, on March 2, 2004, Footstar, Inc. (the
"Company") and substantially all of its subsidiaries (collectively, the
"Debtors") filed voluntary petitions under chapter 11 of title 11, United States
Code (the "Bankruptcy Code") in the United States Bankruptcy Court for the
Southern District of New York (the "Court") (Case No. 04-22350 (ASH)) (the
"Chapter 11 Case"). The Debtors remain in possession of their assets and
properties, and continue to operate their businesses and manage their properties
as debtors-in-possession pursuant to sections 1107(a) and 1108 of the Bankruptcy
Code.

           On January 31, 2005, the Debtors filed with the Court their monthly
operating report for the month of December, 2004, and on February 4, 2005, the
Debtors filed with the Court certain revised schedules to the monthly operating
report for the month of December, 2004 (such revised monthly operating report,
the "Monthly Operating Report"). Exhibit 99.1 to this Current Report on Form 8-K
contains the revised text of the Monthly Operating Report. The revised Monthly
Operating Report contains adjustments to reflect the effect on minority
interests not subject to compromise for an additional tax benefit not previously
provided. This Current Report (including the exhibit hereto) will not be deemed
an admission as to the materiality of any information required to be disclosed
solely to satisfy the requirements of Regulation FD.

           The Monthly Operating Report may be available electronically, for a
fee, through the Court's Internet world wide web site located at
www.nysb.uscourts.gov.
