Item 2.02. Results of Operations and Financial Condition.

 

On April 4, 2008, Vornado Realty Trust (“Vornado”) made available to its shareholders its Annual Report to Shareholders for the year ended December 31, 2007. The Chairman’s Letter included with the Annual Report contains certain statements regarding Vornado’s quarter ended March 31, 2008. These statements are: the statement regarding Vornado’s first quarter of 2008 operating results appearing in the first paragraph on page 9 of the letter; the statement regarding Vornado’s New York office leasing activity for the first quarter of 2008 appearing in footnote 3 on page 9 of the letter; and the schedule of 2008 debt activity appearing in Appendix II on page 17 of the letter. A copy of the Chairman’s Letter is attached hereto as Exhibit 99.1 and furnished with this Current Report on Form 8-K. Only the statements referenced in the second sentence immediately preceding this sentence are incorporated by reference in this Item 2.02.
