Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 28, 2010, Vincent F. D’Annunzio informed the Company that he would not stand for re-election to the Board of Directors at the 2010 Annual Shareholders meeting. The Board of Directors subsequently reduced the size of the Board from nine members to eight members, effective as of the date of the 2010 Annual Meeting of Shareholders.
