(1) | On December 8, 2010, pursuant to the tender offer by Validus Holdings, Ltd. (the "Company") for up to 7,945,000 shares of its common stock, par value $0.175 per share (the "Common Stock"), at a price of $30.00 per share upon the terms and subject to the conditions described in the Offer to Purchase and Letter of Transmittal, each dated November 8, 2010, and filed with the Securities and Exchange Commission in the Company's Schedule TO on November 8, 2010 (as amended), certain investment partnerships of which affiliates of Goldman, Sachs & Co. ("Goldman Sachs") and The Goldman Sachs Group, Inc. ("GS Group") are the general partner, managing general partner or managing limited partner (the "Limited Partnerships") tendered and, on December 14, 2010, the Company accepted for payment 3,148,861 shares of Common Stock. |
