ITEM 7.01  REGULATION FD DISCLOSURE.

On December 10, 2013, the Company issued a press release entitled “Bion Issues Update” which has been placed on the Company's website, www.biontech.com.

ITEM 8.01  OTHER EVENTS.

In order to relate to the Company’s previously disclosed difficulties in raising needed funds, the Company has taken further steps to reduce its cash needs which efforts include terminations of two senior technical employees (who may continue to perform services to the Company on an ‘as needed’ consulting basis for the next several months), reduction of the utilization of outside legal and professional services and transferring some responsibilities and expenses to venture partners.  Management believes that these actions, coupled with current financing activities, will allow the Company to pursue  its core legislative and project initiatives in Pennsylvania  while also continuing its recent activities in the upper Midwest (with initial focus on Wisconsin).
