February 3, 2009 (New York, New York): Red Oak Fund, LP ("Red Oak"), a fund managed by Red Oak Partners, LLC, announced today that it intends to commence a tender offer for up to 70% of the outstanding shares of CLST Holdings, Inc. ("CLHI"), which shares are traded on the pink sheets, at a offer price of $0.25 per share. The offer price will represent an approximate 72% premium over the closing price on Monday, February 2, 2009, and an approximate 57% premium over the prior 30-day average traded price of CLHI's common stock as reported on the pink sheets. On January 30, 2009, Red Oak Partners, LLC both mailed and faxed a letter requesting, pursuant to Rule 14d-5(a) of the rules and regulations of the Securities Exchange Act of 1934, as amended, the use of the CLHI's stockholder list and security position listings for the purpose of disseminating the forthcoming offer to purchase and related materials to the holders of CLHI's common stock.
