This Current Report on Form 8-K is filed by SS&C Technologies Holdings, Inc., a Delaware corporation (the Company), in connection with the matters described herein.

On March 14, 2019, the Company issued a press release announcing the pricing of its private placement offering of $2.0 billion of its 5.500% Senior Notes due 2027 (the Notes) by the Companys wholly-owned subsidiary, SS&C Technologies, Inc. SS&C Technologies, Inc. expects to use the net proceeds of this offering to repay a portion of the outstanding term B-3 loan under its existing senior secured credit facilities. The offering of the Notes is expected to close on March 28, 2019, subject to customary closing conditions. A copy of this press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
