Item 5.02 Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 3, 2013, the Board of Directors of PECO Energy Company (PECO) appointed Nicholas DeBenedictis to the PECO board to fill the vacancy on the PECO board that resulted from the resignation of Gov. Thomas J. Ridge. Mr. DeBenedictis also serves as a director of Exelon Corporation (Exelon), the parent company of PECO. Mr. DeBenedictis is not being appointed to any committees. As a PECO director who also serves on the Exelon board, Mr. DeBenedictis will not receive a retainer for his service on the PECO board but will receive $2,000 for each board or committee meeting attended.
