(b) Departure of Directors or Certain Officers.

On May 1, 2012, Jonathan Cool provided notice to the board of directors (the “Board”) of the Company of his decision to resign from the Board effective immediately. Mr. Cool has served as a valued member of the Board since January 2010. The Company thanks Mr. Cool for his contributions to the Company during this period. Mr. Cool’s term was scheduled to expire at the Company’s annual meeting of stockholders on May 22, 2012.
