(1) Represents shares added to the Employee Stock Purchase Plan pursuant to a stockholder-approved increase in the number of shares eligible for issuance under the Plan, plus an indeterminate number of shares which may be issued as a result of anti-dilution provisions contained in the Plan.

 

(2) Pursuant to Rules 457(c) and 457(h) under the Securities Act of 1933, as amended, the registration fee for 1,000,000 shares covered by this Registration Statement and reserved for future grants under the plan has been calculated on the basis of $7.10 per share, the average of the high and low prices of the registrant’s Common Stock as reported on The NASDAQ Stock Market on June 22, 2009.
