On August 16, 2005, the Board of Directors (the “Board) of ISCO International, Inc. (the “Company”) adopted a Share Ownership Policy (the “Policy”), which was endorsed by the Governance Committee of the Board, for directors and executive officers of the Company. A copy of the Policy is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
