Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On April 10, 2005, Mr. Dick Williams informed the Company’s Board of Directors that he will not stand for re-election to the Board of Directors at the Company’s upcoming 2005 Annual Meeting of Stockholders on May 24, 2005. Mr. Williams informed the Company that his commitments as the CEO of Wily Technology prevent him from having the time necessary to continue serving as a member of the SupportSoft Board. Mr. Williams intends to continue to serve on the Board until SupportSoft’s Annual Meeting of Stockholders.
