ITEM 5. OTHER EVENTS AND REGULATION FD DISCLOSURE
On July 20, 2004, QuadraMed Corporation announced the completion of its cash tender offer to purchase any and all of its outstanding 10% Senior Secured Notes due 2008 (the “Notes”). All of the Notes were purchased, the aggregate purchase price including accrued and unpaid interest was approximately $79.3 million. A copy of the Press Release is attached to this Current Report on Form 8-K as Exhibit 99.1.
