On May 26, 2005, Itron, Inc. sold an additional 225,000 shares of common stock at $36.50 per share upon the exercise of the option granted to underwriters to purchase such shares to cover over-allotments in connection with the offering of 1,500,000 shares made pursuant to the Company's Prospectus Supplement dated May 13, 2005. Proceeds of $7.8 million, or $34.68 per share after payment of the underwriting discount, will be used to pay down borrowings under the Company's senior secured term loan.
