1.01 Entry Into A Material Definitive Agreement
On
May 9,
2006, Heritage Commerce Corp promoted Richard Hagarty to Executive Vice
President and Chief Credit Officer. The Board of Directors approved an increase
in his salary to $152,000, an increase in his car allowance to $500/month plus
gas, and payment of 100% of his health benefit cost. The Company issued a press
release on May 12, 2006 which is included as an exhibit 99.1 to this filing
and
is incorporated by reference herein.
